Providence is calling for Senior Paralegal - Legal - Remote

This position will provide professional legal support to the Department of Legal Affairs (“DLA”) attorneys generally and/or in a specific practice area or across practice areas. This position will be responsible for the coordination, provision, and completion of various legal support tasks as outlined below or requested by a supervising attorney in support of Providence St. Joseph Health’s various operations within its operating footprint.

This position will manage legal matters, in partnership with attorneys, and exercise independent judgment in determining and recommending courses of action based on matter type, carrying out those actions, and bringing matters to closure. This position may also support attorneys/other DLA staff throughout DLA’s offices and will interact frequently with internal and external clients, outside counsel, third party vendors and business associates.

Essential Functions

General Paralegal Responsibilities

1. Maintains the strictest confidentiality, trustworthiness and integrity at all times.

2. Understands ABA Model rule 5.3 and how it applies to a Paralegal. Actively avoids the unauthorized practice of law.

3. Enhance own professional growth and development through participation in educational programs, review of current literature, in-service meetings, and DLA-organized CLE offerings.

4. Monitor and manage all aspects of projects or legal matters including, but not limited to, transactions, governance, investigations, and litigation.

5. Assist attorney in intake/triage, creating, tracking, and managing ongoing matters and prioritizing the same.

6. Request needed documentation and information from business partners to ensure that the attorney has all necessary information/material prior to beginning their work/analysis/review.

7. Identifies and refine issues such that the attorney can focus her/his attention on providing legal advice and counsel to business partners.

8. As requested, act as first line reviewer of legal invoices.

9. Works collaboratively with outside counsel as applicable to the matter.

10. Familiar with and able to independently utilize ServiceNow, Legal Tracker, iManage and various other platforms and document management systems used by DLA, including using these systems for reporting.

11. Field inquiries from outside counsel and business partners when requested by the DLA attorney (or when said attorney is not available), and summarizes with relevant details, business partner legal issues or questions.

12. Communicate directly and through correspondence with high level internal and external customers, including outside counsel as applicable.

13. Develop, prepare and/or assemble necessary materials for meetings and presentations as needed.

14. Assists with the on-boarding of new team members in workflows and process for applicable practice area.

15. Identifies areas for process improvement and brings those to the attention of relevant department stakeholders.

16. Consistent with DLA’s protocols, contract (including physician, clinical education, clinical research, services agreements, and supply chain purchase agreements) drafting and review.

17. Participates in the development of practice tools to aid others in drafting and review of various legal documents.

18. Draft and manage various DLA forms and policies.

19. Compose, edit, and proofread a variety of correspondence, memos, presentations and materials, and directly handle within the assigned scope of authority, knowledge and understanding of activity.

20. Lead or participate in document review as necessary to support various legal matters.

21. As requested, review existing DLA documents/database to determine if preexisting analysis or other work product is available to address a current legal request.

22. Completes legal research as requested by attorney, including Internet and other forms of computerized research.

23. Assist in maintaining DLA’s website to include keeping model documents and other content located therein current.

24. Leads the collection of Providence St. Joseph Health (Providence) division/local information as necessary for various purposes including to update/reflect any changes/revisions thereto for DLA.

25. Special projects as assigned.

26. Works independently and manages time effectively. Makes informed decisions about where to invest efforts based on established departmental and organizational priorities.

27. Assists with training new team members.

Practice Area Specific Responsibilities

Healthcare Operations

1. Responsible for the intake and triage process for new legal services requests submitted by business partners through ServiceNow following division policies and procedures.

2. Draft and prepare a wide range of documents, including resolutions, governance documentation, certifications, consents, reports, articles of incorporation, letters of intent, deeds, leases, etc.

3. Provide substantive support on a variety of matters to include but not be limited to, intellectual property matters including copyright, trademark, and patent filings; internal advice matters on a wide variety of subjects; regulatory matters, a wide variety of contracting matters, medical staff matters, and pre litigation disputes.

4. Enter timely status updates in DLA’s matter management system (Legal Tracker), ensure the matter record is complete and accurate, and ensure all documents are filed to the appropriate matter using DLA’s document management system (iManage).

5. Coordinate conflict waiver requests and ensures they comply with established requirements for reviewing and considering such requests.

6. Assist with support for governmental inquiries, civil investigative demands, other regulatory investigations, and various components of litigation.

7. Provide support for regulatory filings including certificates of need.

8. Coordinate matters relating to Medical Staff, including facilitating the provision of legal advice to business partners regarding issues such as Peer Review, credentialing, Board Investigations, miscellaneous complaints.

9. Draft and review of a wide variety of physician/provider agreements and agreement templates. May provide education to business partners on basic contracting concepts.

10. Draft and review wide variety of legal documents and agreements, including, but not limited to clinical education/affiliation agreements; Non-Disclosure Agreements; letters of intent; Business Associate Agreements; and other agreements.

11. Participate in the review and revision of operational policy reviews and revisions as requested. Including research into relevant statutes.

12. Maintain knowledge of various federal and state healthcare laws including Stark Law, Anti-Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA-HITECH, and EMTALA, and explain the broad concepts of each law to a variety of audiences.
